Empire Acquisition Corp.

Empire Acquisition Corp. is a newly incorporated blank check company incorporated as a
BVI business company and incorporated for the purpose of effecting a merger, share exchange, asset acquisition, stock purchase, reorganization or similar business combination
with one or more businesses, which we refer to throughout this prospectus as our initial
business combination. Although there is no restriction or limitation on what industry or
geographic region our target operates in, we intend to focus our efforts on companies with
a strong connection to Israel and catering to large addressable market opportunities in India
or other developed geographies such as Americas and Europe. The focus for such an acquisition will be based on the broad categories below within the technology sector, with an enterprise value ranging from US$300 million to over US$1.0 billion. We have not
selected any specific business combination target and we have not, nor has anyone on our
behalf, initiated any substantive discussions, directly or indirectly, with any business
combination target.
